# Private company shares and 30 June 2027

URL: https://valuationday.com.au/shareholders
Reviewed: 2026-10-24

**Short answer:** Companies never had the 50% CGT discount, and the main 30 June 2027 rules don't treat a company's own assets as sold. Private company shares held by Australian resident individuals or family trusts are different: the law generally treats them as sold just before 1 July 2027 and bought back at market value.

If your business runs through a private company, the CGT change at 30 June 2027 mostly reaches you through your shares, not the company's own assets. CGT is capital gains tax, the tax on a gain when you sell an asset for more than it cost.

Reviewed 24 October 2026. General information only, not tax advice: ask your accountant.

## Does the 30 June 2027 change reach my company?

Mostly not: companies never had the 50% CGT discount, and the main deemed-sale rules don't apply to a company's own assets.

- **The 50% discount** halves the taxed part of a gain on an asset held at least 12 months. It is for individuals and trusts (super funds get a smaller discount), never companies (ITAA 1997 s 115-10, s 115-25, s 115-100).
- **A deemed sale** treats an asset as sold just before 1 July 2027 and bought back at market value, broadly the price a willing, informed buyer and seller would agree on ([ATO guide](https://www.ato.gov.au/law/view/document?DocID=SGM/market_val)). The main rules cover Australian resident individuals (s 112-155) and, generally, trusts (s 112-165).
- **The exception** is pre-CGT assets, broadly those acquired before 20 September 1985: their own deemed sale also reaches companies, ending their pre-CGT status and resetting their cost base (broadly, what they count as having cost), generally to market value (s 112-175, s 4-5, s 149-10).

## Are shares held by me or my family trust covered?

Generally yes: private company shares held by an Australian resident individual or a family trust are treated as sold and bought back just before 1 July 2027.

Shares in a company and units in a unit trust are CGT assets (ITAA 1997 s 108-5). The rule applies if you or your trust acquired them before 1 July 2027 and still hold them when they are sold, or most other CGT events (things that can trigger the tax) happen, on or after that date (s 112-155, s 112-165, s 977-5). Some conditions apply.

- **The gain is split.** The part up to 30 June 2027 is deferred until the later sale or other CGT event and can still get the 50% discount; the part from 1 July 2027 generally uses indexation, an inflation adjustment to the cost (s 112-160, s 112-170, s 110-36; [ATO](https://www.ato.gov.au/individuals-and-families/investments-and-assets/capital-gains-tax/capital-gains-tax-reform)).
- **A company as trustee.** Shares a company holds "as trustee for" a family trust generally fall under the trust rules (s 960-100).
- **Shares that are still pre-CGT assets** (broadly, acquired before 20 September 1985) have their own deemed sale (s 112-175), and a related rule can apply to them (s 112-180).

## How is a share valuation different from a business valuation?

A business valuation values the whole business; a share valuation values your particular shares.

The 30 June 2027 rules generally use the market value of the shares you hold (s 112-155(3), s 112-165(3)), so a share valuation looks at:

- **The parcel:** exactly which shares you or your trust hold. The ATO's valuation guide says a valuation of an interest is better supported when it names the interest valued, such as one shareholder's interest.
- **The rights:** what the shares carry. The same guide mentions the rights that come with the interest, and the class of shares where a company has several.
- **Control:** whether the parcel can direct the company. Treasury's draft explanatory statement (not law) says control premiums, the extra value a controlling holding can carry, may affect the value of different holdings in private or closely held companies ([August 2026](https://storage.googleapis.com/files-au-treasury/treasury/p/prj3e46922ceb8760bf4a62f/page/c2026_792170_cgt_app_explanatory_material.pdf)).

## What Oliver Group offers shareholders

The CGT 2027 Valuation Package covers a business, shares or trust units: $1,995 + GST, turnover under $2 million, signed planning valuation now plus the update to 30 June 2027 included.

- The planning valuation shows where your shares stand today. The 30 June 2027 value is prepared after that date, as the ATO says a valuation can't be forward-looking ([ATO, 19 October 2026](https://www.ato.gov.au/tax-and-super-professionals/for-tax-professionals/tax-professionals-newsroom/cgt-reform-guidance-and-market-valuations)).
- One valuation date only: $1,495 + GST. Turnover of $2 million or more: a fixed fee confirmed in writing on the first call.
- Adding a property? You get $300 off the Oliver Group business fee when a property is added. The property is valued and signed by a property valuer, never Oliver Group; see [property valuations](https://valuationday.com.au/property).

## Questions people ask

### My business is run through a company. Does 30 June 2027 affect me?

It can. A company's own assets mostly sit outside the 30 June 2027 deemed-sale rules, but private company shares held by an Australian resident individual or a family trust are generally treated as sold and bought back at market value just before 1 July 2027.

### Is valuing my shares the same as valuing the company's business?

No. For a shareholder, the 30 June 2027 rules generally use the market value of the shares. A share valuation looks at that exact parcel, its rights and whether it carries control of the company, so the result may differ from a simple percentage of the business's value.

### Does a valuation of my shares have to be in place on 30 June 2027?

No. The ATO said on 19 October 2026 that a valuation doesn't have to be in place on 30 June 2027 and shouldn't be obtained before then, as it can't be forward-looking. The law also allows for a formula, an apportioning method the Minister may make, but none had been made at 24 October 2026.

### When will the 30 June 2027 value of my shares be used?

The 30 June 2027 value of private company shares is used when they are sold or another CGT event happens. The ATO says you generally don't need to know it for your 2026-27 return, and for most people the earliest return it could affect is 2027-28.
